"Company" means Joel & Nanz Inc., the service provider.
"Service" means the AI-powered receptionist product sold under the names AI-Receptionist, MyReceptionist, and MapleReceptionist, which are functionally identical except for regional branding and currency.
"Client" means the individual or organization subscribing to the Service.
"Designated Number" means the telephone number assigned for outbound SMS, MMS, or voice messaging from the Service.
The Client must affirmatively agree to these Terms and Conditions prior to activation of the Service.
Agreement requires both (a) acceptance of this document and (b) explicit consent to receive SMS/MMS communications from the Designated Number as required by applicable telecom rules.
The Service will not be activated until the Client has completed all mandatory consent checkboxes.
The Service provides automated call-handling, message-taking, call-forwarding, scheduling assistance, and client-specified workflows using AI.
Features may vary by subscription tier; however, all tiers include the ability to send text messages to the Client or callers on the Client's behalf.
Branding differences do not alter functionality:
The Client must provide explicit opt-in consent to receive SMS/MMS messages from the Designated Number associated with the Service. This includes, without limitation:
Consent is captured through a dedicated checkbox stating, or substantially stating:
"I agree to receive SMS/MMS messages from the assigned Service number for operational and account-related purposes."
The Client acknowledges that message frequency will vary based on usage and configuration.
Standard carrier message and data rates may apply.
The Client may withdraw consent at any time by written request or by using any documented opt-out mechanism; however, withdrawal may disable essential features and may prevent continued use of the Service.
The Service is provided for lawful business use only.
The Client must not use the Service for:
Violations may result in suspension or termination without refund.
Subscription fees are billed in CAD for MapleReceptionist and in USD for MyReceptionist, as specified at the time of purchase.
Payment is due at the start of each billing cycle.
Unpaid invoices beyond any stated grace period may result in service interruption or cancellation.
Additional usage fees (for example, per-call overages or add-on services) are billed monthly.
The Company processes caller and Client data solely for the purpose of delivering and improving the Service.
Data may be stored on servers located in Canada or the United States.
The Client is responsible for ensuring that their use of the Service complies with applicable privacy and data protection laws in their jurisdiction.
The Service is provided "as is" and "as available" to the fullest extent permitted by law.
The Company is not liable for indirect, incidental, or consequential damages, including lost revenue arising from missed calls, scheduling errors, or system outages.
To the extent permitted by law, the Company's total aggregate liability is limited to the amount paid by the Client for the Service in the thirty (30) days preceding the event giving rise to the claim.
Either party may terminate the Service in accordance with any notice requirements stated in the Client's subscription or order form.
Fees already paid are non-refundable except where required by applicable consumer protection law.
Upon termination, messaging and call-handling services will cease, and the Designated Number may be reassigned.
The Company may update these Terms and Conditions from time to time.
Material changes will be communicated through the Service website or by reasonable notice. Continued use of the Service after such notice constitutes acceptance of the updated terms.
For MapleReceptionist Clients, these Terms are governed by the laws of the Province of New Brunswick and applicable Canadian federal law.
For MyReceptionist Clients, these Terms are governed by the laws of the Client's state or province and applicable national telecom regulations, unless otherwise specified in writing.
Where AI-Receptionist is sold generically without region-specific terms, the governing law defaults to the laws of the Province of New Brunswick, Canada, unless another jurisdiction is expressly agreed in writing.
